Terms of Service
Effective date: October 16, 2026
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent) and Load Manager Inc., a New York corporation ("Load Manager," "we," "us"), which operates Carrier Lookout at carrierlookout.com (the "Service"). By creating an account, checking the acceptance box, or using the Service, you agree to these Terms. The Service is intended for business use by freight brokers, shippers, and other transportation professionals, not for personal, family, or household purposes.
2. The Service
Carrier Lookout provides software that organizes and displays carrier authority, insurance, safety, and compliance information obtained from public government sources (including the Federal Motor Carrier Safety Administration ("FMCSA")) and third-party data providers. We do not create or control this source data. The Service includes a web portal, carrier monitoring, alerting, and an API.
3. Accounts and Users
Signup creates the first administrator user for your organization. Each plan includes a set number of users, and additional users may be added for a per-user monthly fee; you are responsible for the actions of users on your account.
4. Fees, Billing, and Automatic Renewal
Automatic renewal. Your subscription renews automatically every month and your payment method will be charged the then-current monthly fee for your plan, additional users, and add-ons until you cancel. At checkout today you pay a one-time, non-refundable $30 setup fee. Your first month of service is free; unless you cancel before your free month ends, your card will be charged the monthly price for your selected plan, additional users, and add-ons shown at checkout, starting on the day after your free month ends, and every month after that until you cancel. There are no long-term contracts. Prices exclude applicable taxes. Billing is processed by our billing provider, Zoho Billing, and card payments by Authorize.Net. We will give you at least 30 days' notice by email before any price change takes effect. Changes take effect at your next renewal, and you may cancel before then.
5. Cancellation and Refunds
Cancellation. You may cancel at any time from Portal > Billing, or by emailing support@loadmanager.com. Cancellation takes effect at the end of your current billing period. You will not be charged again, and you keep access until then. To avoid being charged, cancel before your free month ends.
Refunds. No refunds. Fees already paid, including the one-time setup fee and partial months, are non-refundable except where required by law.
After cancellation, dashboard access, carrier monitoring, alerts, and API access are deactivated. Account data is handled as described in our Privacy Policy, and you may export your data before your period ends.
6. No Guarantee of Carrier Data
Carrier information comes from FMCSA and other third-party sources that may be incomplete, inaccurate, or out of date, and it may lag those sources by hours or days. We do not verify, endorse, or guarantee any carrier, its authority, insurance coverage, safety performance, or identity, and alerts may be delayed or missed. An insurance filing is not proof of coverage for a particular load. The Service is not a substitute for your own due diligence, and you remain solely responsible for carrier selection and for verifying information directly with the carrier, insurer, or FMCSA.
7. Disclaimer of Warranties
THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOAD MANAGER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOAD MANAGER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR CARGO LOSS, FRAUD, DOUBLE-BROKERING, ACCIDENTS, OR CLAIMS ARISING FROM YOUR SELECTION OR USE OF ANY CARRIER, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You will defend, indemnify, and hold harmless Load Manager and its officers, employees, and agents from any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your carrier selection or brokerage activities, or your breach of these Terms.
10. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The state and federal courts located in Suffolk County, New York have exclusive jurisdiction, and each party consents to personal jurisdiction there.
11. Changes to These Terms
We may update these Terms by posting a revised version and, for material changes, emailing account administrators at least 30 days in advance. Continued use after the effective date constitutes acceptance.
12. Suspension and Termination
We may suspend or terminate access for non-payment, breach of these Terms or the API Terms, or unlawful use. Sections on fees owed, disclaimers, limitation of liability, indemnification, and governing law survive termination.
